HDFC Bank CEO Race: Kaizad Bharucha Among Candidates to Succeed Sashidhar Jagdishan

MUMBAI, August 30: HDFC Bank has begun a time-sensitive search for its next managing director and chief executive after Sashidhar Jagdishan decided not to seek reappointment when his current term ends on October 26, 2026. Deputy Managing Director Kaizad Bharucha is expected to be considered as one of the options, while the bank is also looking at an external candidate, according to Reuters.

No successor has been appointed. HDFC Bank has not publicly named a shortlist, and any eventual appointment will require approval from the Reserve Bank of India. Reports describing Bharucha as the new CEO therefore go beyond what the bank and the regulator have announced.

What HDFC Bank officially disclosed

In a stock-exchange disclosure dated August 29, HDFC Bank said Jagdishan had informed the board that he did not wish to seek reappointment. The filing said the board took note of the decision despite efforts to persuade him to continue, thanked him for his contribution and decided to fast-track the selection and appointment of a successor “well within time”.

Jagdishan will retire from the bank at the close of business on October 26. He became MD and CEO in October 2020 after succeeding Aditya Puri and received a second three-year term in 2023. His tenure included the July 2023 merger of HDFC Ltd with HDFC Bank, a transaction that sharply increased the lender’s balance sheet and integration demands.

Kaizad Bharucha is an option, not an appointee

Reuters reported, citing two people familiar with the matter, that HDFC Bank is likely to put forward Bharucha as one of two options for the top job and is searching for an external candidate. Neither the bank nor Bharucha commented on that report outside regular business hours.

Bharucha is the bank’s deputy managing director and one of its most experienced executives. HDFC Bank’s public profile says he has been with the institution since its inception in 1995 and has more than 39 years of banking experience. His responsibilities include wholesale banking, public-sector units, multinational companies, capital and commodity markets, realty business finance and parts of the bank’s inclusive-banking operations.

That background makes him a prominent internal contender, but it does not establish that the board has selected him. An unnamed external contender is also under consideration, and no credible report reviewed by The Press of Asia identified that person.

How the RBI approval process works

Leadership appointments at private-sector banks are not finalised by the board alone. Banks submit multiple candidates to the RBI, which can approve one of the proposed names, seek more information or ask the bank to reconsider its choices. This regulatory step is intended to assess experience, suitability, governance record and continuity at a systemically important lender.

The short period before October 26 increases the possibility that HDFC Bank may need an interim arrangement if the regular appointment is not completed in time. The bank has not announced such an arrangement, so that remains a contingency rather than a confirmed outcome.

Why investors are watching the transition

HDFC Bank is India’s largest private-sector lender, making the CEO decision material for depositors, borrowers and shareholders. Investors will look for strategic continuity after the HDFC Ltd merger, progress on deposit growth and margins, and clarity on governance and internal controls.

The transition also follows a period of scrutiny around the bank’s leadership. An external review disclosed earlier this year said it found no evidence substantiating governance concerns raised by a former chairman. In July, the bank separately concluded an internal review related to deposit pricing for a state agency and issued penalties to three senior executives, including Jagdishan. Those developments should be treated as disclosed governance events, not as proof of a reason for his decision to leave. HDFC Bank’s filing did not attribute his decision to those issues.

What happens next in the HDFC Bank New CEO search

The board and its nomination and remuneration committee are expected to evaluate candidates and send the required names to the RBI. Until the regulator approves a candidate and the bank makes a formal exchange disclosure, every reported name remains part of a succession process rather than a confirmed appointment.

For investors, the next decisive update will be an official filing identifying the board’s recommendation, an RBI approval or an interim leadership plan.
